POSITION OVERVIEW:
Ensure the conduct of legal matters, provide legal counsel and advice to the company and its subsidiaries while also retaining and managing outside legal counsel to advise the company with special emphasis on marketing, communication, and intellectual property (IP) matters.

ESSENTIAL JOB DUTIES/RESPONSIBILITIES:
1. Provide legal counsel, review and direction to members of management, senior leadership and various departments concerning intellectual property matters
2. Coordinate, oversee and evaluate the performance and progress of outside counsel representing the company in department specific matters
3. Support trademark registration processes, including conducting searches and preparing applications
4. Conduct legal research on various IP-related matters and summarize findings for internal stakeholders
5. Assist in managing IP portfolios and monitoring for potential infringements or violations
6. Contribute to the development of internal policies and training related to intellectual property
7. Act on behalf of the company and participate in negotiations and drafting of legal documents
8. Review, analyze and make recommendations concerning compliance with federal and state laws and regulations affecting the company’s present and future business plans; recommend actions to affect policy compliance and adopt the best business structure for legal compliance
9. Review and provide direction to company stakeholders regarding marketing collateral and internal and external communications
10. Comply with all applicable laws/regulations, as well as company policies/procedures
11. Perform other duties as required

QUALIFICATIONS:
- Juris Doctorate Degree from an A.B.A. accredited law school and admission to the bar plus twelve (12) years’ experience as an attorney with three (3) years’ pertinent experience
- Strong negotiation, human relations, and communications skills
- Strong written and verbal communication skills
- Admitted to a state bar and licensed (or qualified to be licensed) to practice law in Tennessee
- Experience and demonstrated competence as a practicing attorney with quality and varied patent experience
- Quality experience in handling IP matters for a large corporation and managing outside counsel in patent matters
- Experience in negotiating IP contract provisions
- Self-starter with strong interpersonal skills, able to think and perform creatively, critically, and with integrity
